“Contract Review Professional” We are searching for a contract review professional with at least 3-5 years’ experience in reviewing complex business contracts (preferably commercial construction or engineering contracts). This position requires a practical understanding of the critical components of a typical commercial contract (e.g., indemnity, insurance, limitation of liability, limitations on damages and waivers of consequential damages, force majeure, warranty, payment provisions, etc.), as well as experience in reviewing other related contract documents, such as non-disclosure agreements (NDAs), purchase orders, rental agreements, etc. The ideal candidate will also understand “construction specific” contract principles, such as flow-down clauses, delays, delay liquidated damages, differing site conditions, hazardous materials, and termination. This position requires the ability to prioritize and work under tight timelines to meet deadlines and to shift work activities to meet immediate response needs. Essential Duties & Responsibilities: • This position will support the East Region Counsel with preparation, negotiation and execution of a variety of commercial contracts across clients power, gas and telecommunication lines of business, and in conformance with clients policies and practices. • Work with the Vice President of Operations, area managers, project managers and estimators to provide contract and contract mitigation support.
